1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the Natural Emergence website at naturalemergence.com and any software product we publish (each, the "Software"). By visiting the website, downloading, installing, activating, or using any Software, you agree to these Terms. If you do not agree, do not use the website or Software. These Terms form a binding agreement between you ("User") and Beijing Parsing Information Technology Center (Sole Proprietorship), trading as Natural Emergence (the "Company", "we", "us").

2. License grant

Subject to your full payment of the applicable fee and your continued compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable, perpetual license to install and use each Software product you purchase on a number of devices specified by that product's documentation, for any lawful personal or business purpose.

You may use the Software for any lawful personal or business purpose. You are solely responsible for complying with all laws applicable to your use, including recording-consent laws, data-protection laws (GDPR, CCPA, PIPL, etc.), confidentiality obligations, and export controls.

Some Software products optionally integrate with third-party services (such as AWS, Anthropic, OpenAI) that you may enable by providing your own API credentials. When enabled, data is sent directly from your device to those services according to your configuration. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party service availability, accuracy, pricing, or data handling.

6. Payments and billing

Payments are processed by Paddle.com Market Limited and its affiliates ("Paddle"), our Merchant of Record. Paddle handles checkout, invoicing, tax calculation, and refunds. Your transaction is technically between you and Paddle; Paddle then remits net proceeds to us.

We offer a 14-day, no-questions-asked refund window from the date of purchase. See our Refund Policy for full details and exceptions.

8. Updates and changes

Our Software may check for updates and download new versions. Update checks transmit only the current Software version and your operating-system version; no personally identifying data is sent. You may disable automatic updates in the Software's preferences.

We may, at our discretion, modify, add, remove, or discontinue features of the Software in future versions. Material changes will be documented in the relevant product changelog.

THE WEBSITE AND THE SOFTWARE ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, secure, or that automated output (such as speech-to-text or AI summaries) will meet any specific level of accuracy. You are responsible for verifying any output before relying on it for important decisions.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or related to your use of the website or Software, even if advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or related to a Software product shall not exceed the amount you actually paid for that product in the twelve (12) months preceding the claim.

11. Termination

Your license terminates automatically if you materially breach these Terms. Upon termination, you must cease all use of the relevant Software and destroy all copies. Sections 4, 9, 10, 11, and 13 survive termination.

13. Governing law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be resolved in the competent courts of Beijing, China. Nothing in this section limits any non-waivable consumer rights you may have under your local law.

14. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top reflects the latest version. Material changes will be announced on this website and, where appropriate, by email to active license holders. Your continued use of the website or Software after a change constitutes acceptance of the updated Terms.
