Terms of Service

1. Acceptance of terms

By downloading, installing, activating, or using Pawscribe (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Software. These Terms form a binding agreement between you ("User") and Beijing Parsing Information Technology Center (Sole Proprietorship), trading as Natural Emergence (the "Company", "we", "us").

2. License grant

Subject to your full payment and continued compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable, perpetual license to install and use the Software on one (1) Mac device you personally own or control.

3. Permitted use

You may use the Software for any lawful personal or business purpose, including recording, transcribing, and analyzing meetings, lectures, interviews, or other audio content for which you have obtained all required consents under applicable law.

You are solely responsible for complying with local recording-consent laws (such as one-party-consent or two-party-consent rules), data-protection laws (GDPR, CCPA, PIPL, etc.), and any contractual obligations regarding confidentiality. The Software provides a recording tool; lawful use is your responsibility.

The Software optionally integrates with third-party services (AWS Transcribe, Anthropic Claude, OpenAI, etc.) that you may enable by providing your own API credentials. When you enable a third-party service:

By default, all transcription and analysis runs locally on your Mac, and no data leaves your device.

6. Payments and billing

Payments are processed by Paddle.com Market Limited and its affiliates (collectively, "Paddle"), our Merchant of Record. Paddle handles checkout, invoicing, tax calculation, and refunds. Your transaction is technically between you and Paddle; Paddle then remits net proceeds to us.

8. Updates and changes

The Software may check for updates and download new versions via the Sparkle update framework. Update checks transmit only the current Software version and your operating-system version; no personally identifying data is sent. You may disable automatic updates in the Software's preferences.

We may, at our discretion, modify, add, remove, or discontinue features of the Software in future versions. Material changes will be documented in the changelog.

9. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, secure, or that transcription accuracy will meet any specific level. Speech-to-text and AI-summarization output may contain errors; you are responsible for verifying any output before relying on it for important decisions.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or related to your use of the Software, even if advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or related to the Software shall not exceed the amount you actually paid for the license in the twelve (12) months preceding the claim.

11. Termination

This license terminates automatically if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies. Sections 4, 9, 10, 11, and 13 survive termination.

Our handling of your data is described in our Privacy Policy, which is incorporated by reference.

13. Governing law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be resolved in the competent courts of Beijing, China.

14. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top reflects the latest version. Material changes will be announced in the Software's changelog or by email to active license holders. Your continued use of the Software after a change constitutes acceptance of the updated Terms.
